If you’ve been in federal contracting for more than five minutes, you’ve probably heard some version of: “We should team on this.” Sometimes that means a simple prime-sub relationship. Sometimes it means a formal contractor team. And sometimes it means “we’re both panicking because the solicitation is due next Tuesday.”

Why teaming and subcontracting matter in federal contracting
Federal buyers often want the “best combination” of capabilities, cost, and delivery. The FAR recognizes that contractor team arrangements can be desirable because companies can complement each other’s unique strengths.
The trick is turning that idea into an arrangement that is realistic operationally, defensible legally and from a compliance standpoint, and aligned with your growth strategy (prime now vs prime later).
What is a teaming agreement?
A teaming agreement is typically a pre-award arrangement where two (or more) companies agree to pursue a specific opportunity together, usually with one intending to be the prime and the other(s) intending to be subcontractor(s) if the prime wins.
Think of it as the “we’re going to bid together” document, not the “we’re performing together” document.
Roles during capture and proposal (who writes what, who prices what)
Anticipated workshare (percentages or functional areas)
Exclusivity (are you locked in, and under what conditions?)
IP and data rights (what’s shared, what’s protected)
How you’ll negotiate the subcontract post-award
Termination triggers (bid or no-bid decision, loss, material breach)
A realism note worth reading twice
Many teaming agreements are written as commitments to pursue and negotiate in good faith, but enforceability can vary by state law and by how specifically the agreement is drafted. In practice, a vague “promise to negotiate later” is weaker than clearly defined workshare, roles, and post-award steps.
What is subcontracting in government contracting?
Subcontracting is the performance relationship that exists after award (or is executed contingent on award) where the prime contractor holds the contract with the government and issues a subcontract for part of the work.
Here’s the core distinction: the government has privity with the prime, not the sub, so the prime is accountable for contract performance and manages subcontractors as part of delivery.
Subcontracting plans (when they come into play)
For many “other than small” prime awards above certain thresholds, the prime may be required to establish a small business subcontracting plan and report against it. The FAR clause commonly associated with subcontracting plans and goals is FAR 52.219-9.
Limitations on subcontracting (critical for set-asides)
If you are the small business prime on a set-aside, subcontracting isn’t a free-for-all. Limitations on Subcontracting rules restrict how much of the amount paid by the government can go to subcontractors that are not “similarly situated entities,” with different percentages depending on contract type.
If you’re building a team for a set-aside, this is one of the first compliance checks you should run before you promise someone 70% of the work on a contract where that would be noncompliant.

A special case: GSA MAS Contractor Team Arrangements
If you sell through GSA Multiple Award Schedule (MAS), you’ll also hear about Contractor Team Arrangements (CTAs). In a MAS CTA, two or more MAS contractors team to offer a total solution for a specific order.
GSA’s CTA guidance highlights key differences from a standard prime-sub approach, including that each team member has a direct contractual relationship with the government for its portion, responsibilities are defined in the CTA agreement, and invoicing and ordering mechanics must be clearly handled.
This matters because many contractors casually say “CTA” when they really mean “subcontract.” On MAS, those are not the same animal.
When should you team, and when should you subcontract?
Team when
You need capability coverage you don’t have in-house (and the buyer will notice).
Past performance requirements demand a stronger combined story.
You want to enter a new agency or vehicle with a credible partner.
The opportunity is strategically important enough to justify coordinated capture.
Pro tip: Teaming is often the fastest way to move from “we could do this” to “we can credibly win this.”
Subcontract when
You want revenue and experience without carrying full prime risk.
The prime already has the vehicle access, customer relationship, or incumbent position.
You can deliver a clearly scoped portion (labor category cluster, specialized trade, OEM support, niche compliance function).
Subcontracting is also frequently the best “phase 1” strategy if your long-term goal is to prime later.
Strategic considerations contractors overlook (until it hurts)
1) Workshare that ignores the rules
If the contract is a set-aside and you’re the small business prime, you must ensure your subcontracting approach aligns with limitations on subcontracting requirements.
2) Exclusivity without guardrails
Exclusivity can be reasonable if it’s tied to a specific opportunity, a defined bid or no-bid timeline, clear performance expectations, and an escape hatch if the prime changes scope, pricing, or strategy. Otherwise, it’s just a polite way to get benched.
3) The “we’ll figure it out after award” subcontract
If the subcontract terms are not at least directionally defined (workshare, rates, flowdowns, payment timing), you’re leaving yourself exposed.
4) Proposal labor vs actual staffing reality
If you propose named key personnel from a teammate, make sure your agreement addresses availability, substitutions, and how staffing changes get handled.
How to find teaming and subcontracting opportunities
Now to the part everyone searches for: How to find teaming and subcontracting opportunities without relying on luck.
1) SBA SUBNet
SUBNet is SBA’s subcontracting opportunity database. Small businesses can browse listings posted by primes looking for subs.
2) SBA directory of prime contractors with subcontracting plans
SBA publishes a directory intended to help small businesses identify primes that have requirements to subcontract to small businesses (and therefore actively need subcontractors).
3) SBA Small Business Search
Primes use SBA’s small business search system to find qualified small businesses, so your profile completeness affects discoverability.
4) GSA subcontracting directory
GSA provides a Subcontracting Directory listing certain prime contractors with subcontracting plan activity, which can be used to identify likely prime partners.
5) SAM.gov: Sources Sought and RFIs (for teaming signals)
SAM.gov isn’t just for solicitations. Sources Sought and RFIs are often where primes (and would-be primes) start partner conversations, especially when they’re mapping capability gaps and small business participation strategies.

Search SAM.gov for Sources Sought and RFIs in your NAICS plus keywords
Identify likely primes and vehicles
Reach out with a short capability-focused partner note (what you do, past performance, differentiators, and capacity)
