The FAR rewrite has been one of the most sweeping changes in federal procurement in decades. Among all the parts being overhauled, Part 19—Small Business Programs—is arguably the one with the highest stakes for small businesses. Why? Because Part 19 is the rulebook that defines when the government must reserve contracts for small firms, how socio-economic certifications work, and how prime contractors must subcontract.
For many in the small business community, there was a legitimate concern that the new FAR could weaken protections like the Rule of Two or complicate set-aside authority. Instead, the new Part 19 preserves the Rule of Two above the simplified acquisition threshold, while consolidating and clarifying prior dual rules and refining certification, sole-source, and subcontracting plan provisions.
In short: small businesses won an important battle in this rewrite. What remains now is to understand how to turn the regulatory change into opportunity.
Why Part 19 Is So Critical
Part 19 drives how agencies determine whether to open full and open competition or limit competition to small businesses. It defines when contracts must be set aside, when sole-source awards are allowed, and how socio-economic categories (8(a), WOSB, HUBZone, SDVOSB) interact.
When Part 19 works as intended, it ensures that small businesses get a fair shot at federal contracts otherwise dominated by large primes. But when ambiguity or loopholes exist, agencies may default to full competition or favor large contractors.
So for small business contractors, the Part 19 rules are not just legal text—they govern your access to federal opportunities.
What’s New in the Revised Part 19
1. Rule of Two preserved and consolidated
Old FAR: The Rule of Two appeared in two separate contexts: one for acquisitions between the micro-purchase threshold (MPT) and the simplified acquisition threshold (SAT) under FAR 19.502-2(a), and another for acquisitions above the SAT under FAR 19.502-2(b). Because of this split, some agencies debated whether the Rule of Two fully applied above the SAT.
New Part 19: The Rule of Two is moved into FAR 19.104-2(a). It states that for any acquisition above the micro-purchase threshold, if there is a reasonable expectation of receiving offers from at least two responsible small businesses that are competitive in terms of price, quality, and delivery, the contract must be set aside for small business.
What it means for contractors:
You have stronger assurance that many procurements above the MPT remain reserved, not automatically opened to large firms.
You should prepare to be one of the “two” — have pricing, capabilities, and documentation ready to show you are competitive.
Agencies must document that “two or more” small businesses are viable — which means being seen, registered, and capable is essential.
2. Structural reorganization and removal of duplication
Old FAR: Some small business rules were duplicated or slightly varied depending on threshold. That sometimes led contracting officers to apply rules inconsistently.
New Part 19: Overlapping rules are consolidated. The text is restructured to reduce redundancy and clarify a single set of rules that apply across thresholds. For example, rather than splitting rules above and below the SAT in separate sections, many provisions now apply universally with threshold distinctions built in.
What it means for contractors:
More consistency across agencies. What applies in one agency likely applies in another, reducing “gotcha” surprises.
You’ll see fewer contract-to-contract rule shifts; your internal compliance policies can be more stable.
3. Tighter certification and eligibility requirements
Old FAR: Agencies generally checked socio-economic status via SAM.gov and other databases but had more flexibility in how rigorously they validated.
New Part 19: The revised text more clearly requires contracting officers to confirm socio-economic certifications before awarding set-asides or sole-source contracts. The rules tighten down verification of status (8(a), WOSB, HUBZone, SDVOSB, etc.).
What it means for contractors:
If you already hold certifications, this strengthens your position; agencies will more consistently honor them.
If you are not yet certified but qualify, now is the time to complete and validate your status—delays or discrepancies may block opportunities.
Small firms should ensure their certification documentation is clean, up to date, and defensible.
4. Sole-source authority clarified
Old FAR: Rules for when a sole-source award is allowed under 8(a), HUBZone, SDVOSB, etc., existed but were spread across multiple sections, sometimes with different triggers.
New Part 19: Those rules are now more centralized and aligned, making it clearer when a contracting officer may proceed without full competition under small business socio-economic authorities.
What it means for contractors:
Firms eligible for sole-source awards—particularly in categories like 8(a) or SDVOSB—should expect more consistent application.
You’ll want to highlight in proposals or capability statements why sole-source authority is justified based on your status and the acquisition’s nature.
5. Stronger subcontracting plan and flowdown rules
Old FAR: Primes receiving large contracts had to include small business subcontracting plans. But enforcement and consistency varied.
New Part 19: Subcontracting requirements are updated and aligned more tightly with other FAR parts (e.g., Part 44). There is greater focus on ensuring that primes honor their subcontracting goals and that small business subcontractors are fairly considered.
What it means for contractors:
Small businesses can better position themselves as subcontractors. Demonstrating capacity, reliability, and past performance becomes more important.
Primes will face more pressure to meet subcontracting goals. If your business is visible, capable, and networked, you may be invited into teams or pre-award planning.
Expect contracting officers to review subcontracting commitments more closely during proposal evaluation and contract performance.
Rule of Two preserved—small business access remains protected
One of the greatest fears was that the FAR rewrite would quietly remove or weaken the Rule of Two beyond simplified acquisitions. Instead, small business advocates succeeded in preserving it, and even strengthening clarity around it. This means the small business set-aside path remains robust, not eroded.
A clearer, more consistent playing field
Fragmentation and inconsistent application of small business rules across agencies have long frustrated contractors. With the revised text, many ambiguities are removed. You will have a better sense of “what the rules are” rather than constantly guessing which variant an agency will use.
Certification status is more meaningful
Under the stricter verification rules, once you hold a valid socio-economic certification, it becomes a stronger differentiator. Agencies are less likely to dismiss or question certified status. That added legitimacy helps you in competitive and sole-source settings.
Subcontracting opportunities expand
Primes will increasingly depend on small business partners to meet mandated goals. That creates more pull-through work for capable subcontractors. If you can position yourself early in teaming networks, you benefit as opportunity flows down.
Momentum is real: record small business awards
In FY 2024, small businesses received over $183 billion in prime federal contracts, or 28.8 percent of all federal procurements—a new record. This performance demonstrates the government’s commitment to small business participation and underscores the real opportunity that the revised Part 19 now helps protect and expand.
What Small Businesses Should Do Now
1. Secure or Update Certification Status
If you’re eligible (8(a), WOSB, HUBZone, SDVOSB, etc.), get certified without delay. If you already hold certification, audit your records and documentation; make sure nothing is expired or mismatched.
2. Strengthen Capability Statements
Contracting officers under the new rules will expect you to show you are one of the two viable small businesses. Clearly present pricing approach, past performance, technical capability, and socio-economic status.
3. Be Proactive in Market Research
